Critical Legal Notice — Read Before Using

This End User License Agreement (EULA) is a legally binding contract between you and OPENLOGIC BUSINESS SOLUTIONS PVT LTD. By installing, activating, or using BharatERP or DulonERP software, you agree to be bound by these terms in their entirety.

The software is licensed, not sold. Violation of any term in this agreement will result in immediate termination of access without notice or refund. OPENLOGIC's decision in all matters of violation and termination is final and binding.

Acceptance of Terms

  • By clicking "I Accept," installing, activating, or using BharatERP / DulonERP, you acknowledge that you have read, understood, and agree to this EULA
  • You must be at least 18 years of age and have the legal capacity to enter into this agreement
  • If accepting on behalf of a company, you warrant that you have full authority to bind that entity to this agreement
  • Continued use of the Software after any EULA update constitutes acceptance of the revised terms
  • If you do not agree to these terms, you must immediately uninstall the software and cease all use
  • OPENLOGIC reserves full rights to suspend or permanently terminate any account without prior notice if misuse, policy violation, or suspicious activity is detected. The decision of OPENLOGIC shall be final and binding.

Definitions

  • "Company" / "OPENLOGIC" – OPENLOGIC BUSINESS SOLUTIONS PVT LTD
  • "Software" – BharatERP / DulonERP application, all related components, modules, and documentation
  • "Documentation" – User manuals, help files, and technical specifications
  • "End User" / "User" – Individual or entity that installs or uses the Software
  • "License Key" – Unique activation code provided upon purchase
  • "Updates" – Software improvements, patches, bug fixes, and new versions
  • "Plan" – Subscription tier: ONE (Free) PRO MAX Online
  • "Termination" – Immediate revocation of all license rights and access

Grant of License

The Software is licensed, not sold. You receive a limited right to use the Software; you do not acquire any ownership interest in it.
License Type: Non-exclusive, non-transferable, non-sublicensable, limited license — valid only for your subscribed plan

Subject to strict compliance with this EULA, Company grants you a limited license to:

Permitted Uses:
  • Install and use the Software on authorized devices
  • Use for your own legitimate business operations only
  • Create data backups strictly for security purposes
  • Access updates and support services as per your plan
License Scope by Plan:
  • ONE (Free): Basic features, no support, India only
  • PRO: Full features, full support, India only
  • MAX: All features, priority support, India only
  • Online: Cloud access, per subscription terms
Geographic Restriction: This license is valid for use within India only. Use outside India is not permitted under this license unless a separate written agreement has been executed with OPENLOGIC.

License Restrictions

Zero Tolerance Policy: Any violation of the restrictions below results in immediate termination of license without notice, warning, or refund.
Distribution & Copying:
  • Distribute, sell, rent, or lease the Software
  • Make copies except for one personal backup
  • Share license keys or login credentials with unauthorized users
  • Sub-license or transfer rights to any third party
  • Use, install, or distribute pirated, cracked, or tampered versions of the Software
Modification & Reverse Engineering:
  • Modify, adapt, translate, or create derivative works
  • Reverse engineer, decompile, or disassemble the Software
  • Remove, alter, or obscure any copyright or ownership notices
  • Use Software outputs or architecture to build competing products
Misuse & Illegal Activities:
  • Use for any illegal, fraudulent, or deceptive purpose
  • Use to facilitate tax evasion, GST fraud, or money laundering
  • Circumvent, disable, or bypass any security or licensing mechanism
  • Create multiple accounts to circumvent user-count or plan limits
  • Use bots, scripts, or automated tools for screen-scraping or unauthorized data extraction
  • Use the Software or its outputs to train AI/ML models
Competitive & Account Misuse:
  • Benchmark against competitors without written permission
  • Extract proprietary algorithms or business logic
  • Allow concurrent use beyond the licensed user count

Subscription & Payment Terms

Payment Policy: All paid plans require full advance payment before activation. No credit or deferred payment terms apply.
Payment Rules:
  • All paid plans (PRO / MAX / Online) require advance payment
  • Renewal must be completed before the expiry date to avoid service interruption
  • No refund once a license is activated, regardless of usage
  • Pricing is subject to change at any time with prior notice
  • Access is suspended immediately upon subscription expiry

Intellectual Property & Ownership

Company Ownership:
  • All rights, title, and interest in the Software permanently remain with OPENLOGIC
  • BharatERP and DulonERP trademarks, logos, and brand names are exclusive Company property
  • Source code, algorithms, database schemas, and proprietary methods are strictly confidential
  • This EULA grants usage rights only — no ownership is transferred under any circumstance
  • Any customizations or configurations you make within the Software do not grant you any intellectual property rights over those customizations
Your Data:
  • You retain ownership of all business data you enter into the Software
  • You may export your data at any time during an active subscription
  • OPENLOGIC does not claim ownership of your business data but may access it to provide services or comply with legal obligations
Confidentiality Obligation:

You must treat all non-public information about the Software — including pricing, architecture, features, and source code — as confidential and must not disclose it to any third party.

Third-Party Components:

Some Software components may be licensed from third parties under separate terms. Applicable third-party licenses are available in the Software documentation.

Installation & System Requirements

Installation Guidelines:
  • Download only from official BharatERP / DulonERP channels
  • Use only legitimate, unmodified license keys
  • Install antivirus software and keep it updated
  • Restrict installation to authorized personnel only
  • Installation on virtual machines counts against your licensed device count
System Requirements:
  • Windows 10/11 or compatible OS
  • Minimum 4GB RAM (8GB recommended)
  • At least 2GB available disk space
User Responsibilities:
  • Maintain regular data backups — OPENLOGIC is not responsible for data loss
  • Keep Software updated to the latest version
  • Protect all login credentials and license keys
  • Monitor and prevent unauthorized access or use
  • Report any unauthorized access to OPENLOGIC immediately
Network & Internet:
  • Internet connection required for activation, updates, and cloud features
  • Secure, private network strongly recommended for business use

Cloud & Offline Usage

Cloud Version:
  • Cloud services depend on server availability and internet connectivity
  • OPENLOGIC does not guarantee 100% uptime for cloud services
  • Scheduled maintenance windows may temporarily disrupt cloud access
  • Cloud access is immediately suspended upon subscription expiry or license termination
  • OPENLOGIC applies industry-standard security practices; however, users are responsible for their own network security
Offline / Desktop Version:
  • Offline version operates locally but requires online activation
  • Software updates and new features may become inaccessible after subscription expiry
  • Cloud sync services will be disabled upon expiry or termination
  • Continued use of an expired offline license without renewal constitutes a breach of this EULA
  • User is solely responsible for backing up all local data before any expiry date
OPENLOGIC is not liable for any business disruption, data loss, or financial loss resulting from service unavailability, internet outages, or subscription expiry.

Updates & Maintenance

Software Updates:
  • Company may update, patch, or modify the Software at any time
  • Features may be added or removed without prior notice
  • Major version upgrades may require a separate purchase
  • Continued use of the Software after an update constitutes acceptance of all changes
Critical Security Updates:
  • Critical security patches must be applied within 30 days of release
  • Failure to apply critical security updates voids all support and may void the license
  • OPENLOGIC will notify users of critical updates via email or in-app notification
Maintenance Windows:

Scheduled: Sundays 2:00–4:00 AM IST

Emergency: As needed with notice

Duration: Usually under 2 hours

Warranty Disclaimer

Important: Software is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
No Warranties:
  • No warranty of merchantability or fitness for any particular purpose
  • No guarantee of uninterrupted or error-free operation
  • No warranty that the Software will meet your specific requirements
  • No warranty against data loss, corruption, or inaccuracy
  • No warranty regarding accuracy of reports generated from user-entered data
Best Efforts:
  • OPENLOGIC strives to provide reliable, quality software
  • Reported bugs and issues are addressed on a best-effort basis
  • Support available during business hours for eligible plans
  • Regular updates improve functionality and security

Statutory Rights: This disclaimer does not affect statutory rights you may have under applicable Indian consumer protection laws. Limitations that are not enforceable under applicable law shall be deemed modified to the minimum extent necessary.

Limitation of Liability

Liability Cap: OPENLOGIC's maximum aggregate liability to you shall not exceed the total amount you paid for the Software in the 12 months preceding the claim
OPENLOGIC is NOT Responsible for:
  • Data loss, corruption, or accidental deletion
  • Business loss, revenue loss, or lost opportunities
  • Incorrect reports or outputs resulting from wrong user data entry
  • System downtime, internet outages, or server unavailability
  • Indirect, incidental, or consequential damages
  • Punitive or exemplary damages of any kind
  • Third-party actions, integrations, or service failures
Claim Rules:
  • Claims must be filed within one year from the date the cause of action arose
  • Limitations apply regardless of legal theory (contract, tort, etc.)
  • Limitations apply to OPENLOGIC, its affiliates, directors, and suppliers
User Indemnification:

You agree to indemnify, defend, and hold harmless OPENLOGIC, its officers, and employees from any claims, damages, fines, or legal costs arising from: (a) your breach of this EULA; (b) your misuse of the Software; (c) your violation of any applicable law; or (d) your negligence.

Termination of License

Strict Termination Policy: OPENLOGIC reserves full rights to suspend or permanently terminate any account immediately and without prior notice. The decision of OPENLOGIC is final and binding.
Immediate Termination by OPENLOGIC (No Notice Required):
  • Breach of any term of this EULA
  • Unauthorized distribution, sharing, or resale of the Software
  • Use of pirated or cracked versions
  • Fraudulent, suspicious, or malicious activity detected
  • Legal, regulatory, or compliance issues involving the account
  • Subscription payment not received / subscription expired
Termination by User:
  • Stop using and uninstall the Software
  • Do not renew the subscription
  • No refund is applicable upon user-initiated termination
Effect of Termination:
  • All rights under this EULA cease immediately upon termination
  • User may export data only during an active subscription — not after termination
  • User must uninstall the Software and destroy all copies within 7 days
  • User must provide written certification of Software destruction within 7 days of request
  • Confidentiality obligations survive termination indefinitely
  • Unauthorized continued use after termination constitutes copyright infringement subject to civil and criminal action

Data Access After Termination

User Responsibility: It is the user's sole responsibility to take complete data backups before subscription expiry or anticipated termination. OPENLOGIC is not liable for any data loss after termination.
Post-Termination Data Policy:
  • Software access is blocked immediately upon termination or expiry
  • Data retention period: 7 to 30 days post-termination (at OPENLOGIC's discretion)
  • After the retention period, all data associated with the account may be permanently and irreversibly deleted
  • OPENLOGIC is under no obligation to retain data beyond the retention period
User Obligations:
  • Must take full data backup before subscription expiry date
  • Should renew subscription in advance to maintain uninterrupted access
  • May request a data export within the retention period by contacting support (paid plans only)
  • OPENLOGIC will not be responsible for any loss of data, records, or reports post-termination

Account Responsibility

You are fully and solely responsible for all activity that occurs under your account.
Credential Security:
  • Maintain confidentiality of your login credentials and license keys at all times
  • Do not share credentials with any unauthorized user
  • Notify OPENLOGIC immediately if you suspect unauthorized access to your account
  • Change your passwords regularly and use strong, unique passwords
Data Accuracy & System Use:
  • You are responsible for the accuracy and legality of all data entered into the Software
  • Reports, invoices, and records generated from incorrect data are your sole responsibility
  • You must ensure your use of the Software complies with all applicable laws, including GST and taxation regulations
  • OPENLOGIC accepts no liability for errors arising from inaccurate user input or misconfiguration

Export Compliance & Regulations

  • The Software is subject to Indian and applicable international export control laws and regulations
  • You agree to comply with all applicable export regulations without exception
  • The Software may not be exported, re-exported, or transferred to prohibited countries, entities, or individuals
  • Additional restrictions may apply based on end-use, end-user, and destination
  • Export licenses may be required for certain jurisdictions; obtaining such licenses is the user's responsibility

Governing Law & Jurisdiction

  • This EULA is governed exclusively by the laws of India
  • Exclusive jurisdiction: Courts of Guwahati, Assam, India
  • Disputes should first be attempted to be resolved through direct good faith negotiation
  • Mediation is preferred before proceeding to litigation; mediation conducted under ICADR rules
  • The English language version of this EULA prevails over all translations
  • The party that initiates litigation without first exhausting negotiation and mediation shall bear the other party's legal costs
Dispute Resolution Steps:

Step 1: Direct negotiation (30 days)

Step 2: ICADR Mediation (60 days)

Step 3: Court proceedings, Guwahati

General Clauses:

Severability: If any provision is held invalid, the remaining provisions remain in full force.

Entire Agreement: This EULA constitutes the entire agreement between you and OPENLOGIC and supersedes all prior communications.

BharatERP ONE (Free Version) users are not entitled to any support. Support is exclusively available for active PRO, MAX, and Online subscribers.
Support Included for PRO / MAX / Online Plans:
  • Installation and setup assistance
  • Basic software training
  • Bug reporting and issue resolution
  • Access to documentation and knowledge base
  • Email support with defined response SLA
Support Not Available For:
  • BharatERP ONE (Free) plan users — no support under any circumstance
  • Modified, tampered, or unauthorized installations
  • Third-party software, hardware, or OS issues
  • Expired subscriptions
  • Issues resulting from user error or incorrect data entry
